As a full-service law firm, we are able to provide a comprehensive analysis of a client’s needs. When necessary and appropriate for our health care clients, we work closely with attorneys in other practice areas within the firm, such as corporate and employment matters, tax planning, ERISA planning, real estate, and litigation. We are keenly aware of the issues encountered in the business of health care, and make it our business to find personal solutions for each client.

Regulatory Compliance
We have significant expertise in fraud and abuse, self referral (Stark) and other federal, state and local statutes and regulations affecting health care business, including fee-splitting and corporate practice of medicine issues
Self-Funded Health Benefit Plans
We represent numerous self-funded health benefit plans throughout the country in preparation of plan documents, subrogation, recovery, and exclusionary matters.
General Corporate Representation
We regularly counsel our clients in connection with the structure, formation and operation of business entities. We also draft shareholders agreements and operating agreements for our health care provider clients. We draft and review all contracts and leases applicable to health care businesses, including contracts between providers, institutions, and managed care organizations. Our representation also encompasses preparation of private offering documentation.
Professional License and Accreditation
We represent providers in connection with licensure and accreditation matters, including representation of providers in all licensure actions.
Employer/Employee and Personnel Matters
Our health care lawyers counsel clients in connection with all aspects of the employer/employee relationship, including the preparation and review of employment and independent contractor agreements, as well as the enforcement or defense of restrictive covenants and other employment termination issues
Mergers, Sales and Acquisitions
We handle all aspects of the sale or purchase process.
Practice Transitions
We structure and document practice buy-in arrangements, including stock purchase agreements, shareholders agreements and employment agreements.
Taxation
We advise health care clients on Federal, State and local tax matters, including the structuring of business organizations, employee benefit plans and deferred compensation.
HIPAA Regulatory Issues
We regularly provide clients with guidance on HIPAA and other privacy issues, including the preparation of policies and procedures and associated compliance manuals.
Counseling and Formation of Physician Networks, PHO’s, IPA’s, MSO’s
We have significant experience counseling on the formation of various organizations and cutting edge structures. We employ creative thinking and an extensive knowledge of the various laws and regulations impacting health care to create solutions.
