As a full-service law firm, we are able to provide comprehensive assistance to meet our client's needs. When necessary and appropriate for our health care clients, we also work closely with attorneys in other practice areas within the firm, such as corporate and employment matters, tax planning, ERISA planning, real estate, and litigation. Health Care Industry Capabilities
Firm attorneys provide comprehensive counsel to a full range of health care providers,
including hospitals, physician groups, ambulatory surgery centers, and management
services organizations (MSOs). Our experience covers the full life cycle of provider
operations, transactions, and compliance.
Regulatory Compliance
We advise clients on federal, state, and local laws governing health care business operations, including fraud and abuse statutes, the Stark Law and state mini-Stark laws, and the Anti-Kickback Statute. Our work also encompasses fee-splitting, corporate practice of medicine, and related operational compliance issues. We represent providers in audits, investigations, and enforcement proceedings involving these and other regulatory matters.
Corporate and Transactional Matters
We assist clients in structuring, forming, and managing business entities to meet legal and operational goals. This includes drafting shareholders agreements, operating agreements, and key commercial contracts and leases. Our attorneys handle all phases of mergers, acquisitions, joint ventures, and other strategic transactions for health care businesses.
Non-Profit and Governmental Health Care Providers
We counsel non-profit and state, county and municipal health care providers on complex regulatory, compliance and operational issues. This includes compliance under Section 501(c)(3) and 501(r) of the Internal Revenue Code and with enabling statutes and associated rules. We guide clients through compliance with the Affordable Care Act provisions codified at Section 501 (r), which impose additional requirements on tax-exempt hospitals such as conducting community health needs assessments, adopting financial assistance and emergency care policies, and implementing compliant billing and collection practices. Through proactive counsel, we help clients balance their charitable or public missions with the operational and financial realities of delivering community health services while preserving critical tax and financing benefits.
Real Estate
Counsel and transaction support across the full real estate lifecycle for health care facilities and provider organizations, covering acquisitions, dispositions, development, leasing, financing, land use, and workouts. Services are structured to align with health care regulatory requirements and operational realities for hospitals, ASCs, medical office buildings, and senior living communities.
Practice Transitions and MSO Structures
We design and implement compliant practice transition models, including physician buy-ins, ownership restructuring, and succession planning. Our team also advises on the formation and operation of MSOs and affiliated arrangements, drafting aligned stock purchase, employment, and management services agreements.
Licensing, Accreditation, and Certification
Our attorneys represent facilities and practitioners in obtaining, maintaining, and defending licensure, certification, and accreditation across multiple states. We regularly interact with health departments, accreditation bodies, and professional boards regarding compliance and corrective action matters.
Employment Counseling and Litigation Support
We provide counsel on all aspects of the employment relationship, including drafting and reviewing physician, employee, and independent contractor agreements. The firm advises on restrictive covenants, non-compete enforcement, employment terminations, and related disputes, with attention to both business continuity and regulatory compliance.
Tax and Employee Benefits
We advise on organizational structures and transactions with federal, state, and local tax implications. Our experience covers employee benefit plans, deferred compensation arrangements, and other tax-sensitive business and ownership models for health care organizations.
Intellectual Property
