Douglas Murray is a business lawyer who represents an array of public and private clients in all stages of company lifecycles.
His clients are from a broad range of industries, including manufacturing, retail, real estate, technology, consulting, private equity, venture capital, banking and private asset management, metal recycling, healthcare, life sciences, transportation and hospital systems.
Doug handles transactional matters on behalf of clients, including mergers and acquisitions, due diligence review for M&A and loan transactions, venture capital investments and private offerings, commercial agreements, and real estate development transactions.
He also provides internal corporate advice to clients with respect to governance and fiduciary duty matters, tax-driven reorganizations, capitalization matters, private proxy and consent solicitations, buy/sell and shareholder agreements, and administration of equity compensation plans.
He provides general corporate advice to U.S. subsidiaries of foreign companies and counseling regarding governance and structuring of subsidiaries and transactions with a focus on protecting the foreign parent from the U.S. subsidiary’s liabilities. He also represents these entities in their formations, M&A transactions, the preparation of form agreements, terms and conditions of sale or purchase, website terms and conditions, and privacy policies.
In addition, Doug represents investors and companies in venture capital transactions and emerging company space, including structuring transactions, entity selection and formation, and drafting and negotiation of “protective” documents, such as assignments of inventions, non-disclosure agreements, and NVCA investor agreements.
Doug also provides advice to clients regarding securities matters, including federal and blue sky exemptions in connection with M&A transactions, venture capital investments and other private offerings.
Doug is co-author of “Minority Stakeholder Rights,” Chapter 4 in “Disputes Involving Closely Held Companies 2020 Edition.” Published by the Illinois Institute for Continuing Legal Education in Feb. 2020, it is the essential guide for Illinois attorneys who represent closely held corporations, partnerships or LLCs.
Doug joined Aronberg Goldgehn as a Member in July 2018. Previously, he practiced in the corporate practice groups at Gould & Ratner LLP, McGuireWoods LLP and Drinker Biddle & Reath LLP.
Prior to his legal career, Doug was an executive compensation consultant with Deloitte & Touche and Arthur Andersen. As such, he liaised with and managed foreign tax and legal professionals to implement international equity-based compensation plans of multinational corporations. He led studies, performed research and calculations to determine competitive executive compensation practices and plan design. He also designed, researched and evaluated compensation plans for Chapter 11 companies.
While completing his undergraduate studies at Northwestern University, Doug was a varsity letterman player in baseball. He also had a career as a professional baseball player with the Houston Astros' and Kansas City Royals’ minor league teams.
