Ned Robertson has a broad-based business law, financing, real estate and family law practice. He advises clients on a multitude of business matters, including shareholder agreements, employment contracts, covenants not to compete, and agreements relating to the purchase and sale of corporate assets.

He is also Co-Chair of the Banking Law Group at Aronberg Goldgehn.

Ned represents banks and corporate borrowers in asset based, construction and real estate financing, including the preparation and negotiation of loan documents. He also is involved in transactions resulting in the restructuring of debt.

Ned regularly consults with closely-held business owners on incentive compensation plans designed to retain key employees. As part of this practice, he has represented franchisors and franchisees in the preparation and negotiation of franchise agreements and in state regulatory matters, and has represented clients with trademark, copyright and domain name issues.

Ned represents property owners in real estate transactions, including purchasers and sellers of vacant land, and industrial, commercial, multi-family and office buildings. As part of this practice, he has prepared documentation for the conversion of buildings to condominium and has advised clients with respect to 1031 exchanges.

Ned also advises clients on asset protection and succession planning, including in the preparation of irrevocable trusts and family limited partnerships.

REPRESENTATIVE MATTERS

  • Representing a client in the sale of a multimillion-dollar service business

  • Representing a client in the purchase and subsequent sale of a 424-unit multi-family project

  • Preparing documentation for a limited liability company client desiring to retain key employees by granting them indirect membership interests in the operating entity

  • Preparing documents for the sale of assets to a grantor trust, which resulted in significant wealth transfer to benefit younger generation family members free of transfer tax
