Joseph Cioffi represents directors and officers, management committees and stakeholders of privately held companies, investment groups and family enterprises consisting of various corporate entities, limited liability companies, joint ventures and partnerships, and trusts in numerous tax and general business law matters. He provides advice on fiduciary responsibilities, corporate governance, entity formation and capital structuring, mergers and acquisitions, divestitures and liquidations, and business succession planning.

Joe regularly counsels start-up companies and entrepreneurs regarding business planning and financing options, including traditional and alternative bank lending, private placements, factoring of receivables, venture capital funding and SBA loans.

In addition, Joe has extensive experience preparing individual and entity tax returns as well as structuring federal and state tax settlements,negotiating offers in compromise, and defending tax positions in audit hearings and other tax controversy matters. He routinely provides advice regarding new legislation and emerging developments in tax law and accounting policy, and assists with compliance and reporting matters, regulatory issues and internal controls to ensure conformity with industry best practices.


  • Represented a recently formed real estate holding company in connection with a series of private offerings to finance ongoing acquisition operations

  • Settled a tax dispute and valuation challenge by the IRS, which mitigated approximately $500,000 of potential federal tax liability

  • Managed the asset purchase transaction of a regional trucking company and secured financing for a storage and maintenance facility

  • Facilitated the acquisition of a signage manufacturing franchise in Kane County

  • Structured and negotiated the acquisition of a business services franchise and assisted the new owner in securing financing to procure additional real estate and parking facilities

  • Represented a heavy equipment leasing company in securing a revolving credit line to facilitate the acquisition of new assets


Joe joined Aronberg Goldgehn in October 2016.

In addition to his civilian practice, Joe serves as a Judge Advocate and Public Affairs Officer for the United States Army Reserve Legal Command. He is responsible for performing a variety of legal advisory duties for the 330th MED BDE. He also coordinates educational seminars, newsletter distributions, media events, and community programs to inform Service members and the public about issues important to national security and the military.
