At Aronberg Goldgehn, we represent individuals, businesses and tax-exempt organizations with respect to federal, state, and local tax matters.  Our attorneys handle all aspects relating to income taxes, employment taxes, sales and use taxes and excise taxes.  Our practice includes tax planning and representation of clients in tax controversies.  We regularly prepare a broad range of tax-related agreements and documents. 

Our tax planning practice includes:  

  • Advising new businesses on appropriate entity choices, including corporations, S corporations, partnerships, and limited liability companies
  • Structuring, acquisitions, dispositions, reorganizations, divisions and liquidations of businesses, including rendering advice and implementing tax-advantageous transactions such as tax-free exchanges, corporate mergers and spin-offs, and sale-leaseback transactions
  • Advising operating businesses regarding tax-efficient methods of structuring operations
  • Estate planning for individuals, including succession planning for closely-held businesses and the use of trusts and family limited partnerships
  • Advising employers regarding qualified pension, profit-sharing, 401(k), cafeteria and employee stock ownership and non-qualified deferred compensation plans, and designing or assisting in plan structures
  • Section 1031 exchanges
  • Applying for tax-exempt status and advising not-for-profit organizations

Our tax compliance practice includes: 

  • Preparing federal and state individual income tax returns
  • Preparing federal and state business and fiduciary income tax returns
  • Preparing federal and state estate tax returns

Our taxpayer representation practice includes:   

  • Representing clients in federal and state tax audits
  • Litigation of tax controversies before all federal courts, including the U.S. Tax Court
  • Negotiating resolution of outstanding tax liabilities through installment agreements and offers-in-compromise
  • Assisting non-filers return to compliance with federal and state tax obligations and negotiating resolution of tax liabilities
