Mark Anderson Presenting "Illinois LLC Act Changes"

On June 9, 2017, Aronberg Goldgehn attorney Mark Anderson will speak on the "Illinois LLC Act Changes" at the Fox Valley Chapter of the Illinois CPA Society’s JD/CPA practitioners' breakfast. The breakfast will begin at 7:30 a.m. and Mark will present from 8 a.m. to 9 a.m.

Major changes to the Illinois LLC Act will become effective July 1, 2017. This program is important to attorneys who will be drafting or negotiating new operating agreements, and who will also be asked to interpret how these significant changes impact existing agreements. It is also important to accountants who are frequently asked by clients to advise on or explain provisions of a client's operating agreement.

Fundamental changes have been made to the Illinois Act that reduce the authority of certain members, require additional filings with the Secretary of State, potentially change or eliminate fiduciary duties, validate significant penalties for the failure to make required capital contributions, change available remedies for a dysfunctional LLC and increase opportunities for mergers and conversions.

1.0 Hour of CPE and 1.0 Hour of CLE have been applied for.

About Mark Anderson

Mark Anderson represents various corporations, LLCs and trusts in a wide range of tax and general business law matters. He also maintains an estate planning practice, which is a value-added service to business owners and their families.
